MSN Xbox Prize Draw Official Rules

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING

Common terms used in these rules:
These are the official rules that govern how the MSN Xbox Prize Draw promotion will operate. This promotion will be simply referred to as the "Prize Draw" throughout the rest of these rules.

In these rules, "we," "our," and "us" refer to Microsoft Limited the sponsor of the Prize Draw. "You," "yourself" refers to an eligible Prize Draw entrant.

1. WHAT ARE THE START AND END DATES?

This Prize Draw starts at 17.00hrs GMT 15th May 2009, and ends at 08.00hrs GMT 30 June 2009 ("Entry Period").

2. CAN I ENTER?

You are eligible to enter this Prize Draw if you meet the following requirements:

● You are a legal resident of France, Germany, Republic of Ireland or the United Kingdom, and

● You are 14 years or older at the time of entry; and

● You are NOT an employee of Microsoft Corporation or an employee of a Microsoft subsidiary; and

● You are NOT involved in any part of the administration and execution of this Prize Draw; and

● You are NOT an immediate family (defined as parent, sibling, spouse, child regardless of where they live) or household member of a Microsoft employee, an employee of a Microsoft subsidiary, or a person involved in any part of the administration or execution of this Prize Draw.

This Prize Draw is void outside the geographic area identified above and wherever else prohibited by law.

3. HOW DO I ENTER?

You can enter online at http://specials.uk.msn.com/xbox. To enter you must visit the Prize Draw website, complete the multiple choice question and submit your details to be entered.

For residents of France only: Telecommunication and access expenses corresponding to the time of connection on the Prize Draw have been evaluated at the flat fee of 0.50 euros per entry and shall be reimbursed to any on-line participant requesting it in writing at Microsoft France, Service Juridique, 148 rue de l’Universit! 75007 Paris. The participants claiming reimbursement of the costs of connection must provide their telephone bill justifying that they do not benefit from unlimited access.

For residents of Germany, UK, and Republic of Ireland: you may seek to claim reimbursement costs of your entry by posting your claim with full details of the costs of connection together with a copy of your bill to:

4. WHAT ARE THE PRIZES?

If for any reason the advertised prize is unavailable, we reserve the right to substitute a prize of equal or greater value. If you are selected as a potential winner:

1. You may not exchange your prize for cash or any other merchandise or services.

2. You may not designate someone else as the winner. If you are unable or unwilling to accept your prize, we will award it to an alternate potential winner via the same random prize draw method outlined in section 5 below.

3. If you accept a prize, you will be responsible for all applicable taxes related to accepting the prize, if any.

4. We will select the five Xbox 360 games taking into account their Gaming Rating and your age.

5. We may award, at our sole discretion, your prize to your parent/legal guardian on your behalf if you are a minor (being under the age of majority).

5. HOW ARE WINNERS SELECTED AND NOTIFIED?

In each territory, Microsoft will select an Entrant by random prize draw in the presence of an independent adjudicator on or before 29 June 2009. The name of the independent adjudicator will be made available upon written request to the Promoter. The winners will be notified by email or telephone within one (1) week of the draw. In the event that a winner does not respond within a further two (2) weeks, the winner will be deemed to have forfeited the prize and an alternative winner will be randomly selected from the other Entrants who correctly answered the question.

6. WHAT ARE YOUR ODDS OF WINNING?

Your odds of winning this Prize Draw depend on the number of eligible entries we receive.

7. WHAT OTHER TERMS AM I AGREEING TO BY ENTERING THIS PRIZE DRAW?

By entering this Prize Draw you agree:

1. to abide by these rules;

2. to the extent allowable under applicable law, to release and hold harmless Microsoft and its respective advertising and promotional agencies and Prize Draw judging organization, their parent companies, subsidiaries, affiliates, employees, representatives, successors, assigns and agents from any and all liability or any injury, loss or damage of any kind arising from or in connection with this Prize Draw or any prize won save for residents of the United Kingdom, France and Germany with respect to claims resulting from death or personal injury arising from Microsoft's negligence and for residents of the United Kingdom with respect to claims resulting from the tort of deceit or any other liabilities that may not be excluded by law;

3. that Microsoft's decisions will be final and binding on all matters related to this Prize Draw; and

4. TO AND EXPRESSLY CONSENT TO MICROSOFT USING THE INFORMATION YOU PROVIDE, AND TO YOU BEING PHOTOGRAPHED FOR PROMOTIONAL PURPOSES IN RELATION TO THE PRIZE DRAW. BY DOING SO, YOU HEREBY GRANT MICROSOFT THE RIGHT, IN PERPETUITY, TO USE YOUR IMAGE AND INFORMATION, WITHOUT PAYMENT OR COMPENSATION, IN ALL MEDIA CURRENTLY OR IN FUTURE KNOWN OR DEVELOPED, IN ANY CASE, THE LACK OF SUCH CONSENT DOES NOT PREVENT THE WINNER FROM RECEIVING THE PRIZE;

8. WHAT LAWS GOVERN THE WAY THIS PRIZE DRAW IS EXECUTED AND ADMINISTRATED?

These rules, the conduct of this Prize Draw and the interpretation and enforcement of these rules shall be governed and construed in accordance with the laws of the participant’s country of residence.

For residents of the United Kingdom only: The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply such that no third party shall be entitled to enforce the terms of the Prize Draw.

9. WHAT IF SOMETHING UNEXPECTED HAPPENS AND THE PRIZE DRAW CAN'T RUN AS PLANNED?

If cheating, a virus, bug, catastrophic event, or any other unforeseen or unexpected event that cannot be reasonably anticipated or controlled, (also referred to as force majeure) affects the fairness and /or integrity of this Prize Draw, we reserve the right to cancel, change or suspend this Prize Draw. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Prize Draw, we reserve the right to select winners from among all eligible entries received before we had to cancel, change or suspend the Prize Draw.

If you attempt to compromise the integrity or the legitimate operation of this Prize Draw by hacking or by cheating or committing fraud in ANY way, we may seek damages from you to the fullest extent permitted by law. Further, we may ban you from participating in any of our future Prize Draws, so please play fairly.

10. HOW CAN YOU FIND OUT WHO WON?

We will post the names of confirmed winners online after 30 June 2009, at http://specials.uk.msn.com/xbox/winners.aspx . This list of winners will remain posted for 21 days.

Residents of France can obtain a copy of the rules by sending a request via postal mail to <insert> and postage expenses at the normal rate will be reimbursed upon request made at the same address.
