Dormant Company

I formed a company on 6 june 2008, and subsequently changed the name on 12th june. I had previously been a sole trader and was given a large contract which was later cancelled, so have continued to work as a sole trader and the company has been dormant.

I have just submitted my self assessment to IR.

I am now aware that I will have to submit the DCA form and Annual Return. Do these have to be with Companies house before June 6th, and what will the AR consist of if theres no company activity? Thank you.

As the company was formed on 6th June the accounting reference date will be 30th June by default. So unless you changed this the DCA form will have to be prepared at that date. You have nine months to file this.

The annual return will be made up to the anniversary of the formation date and should be filed within 28 days. It consists of the following main items

Registered office
Situation of register of members
An industry code (there is one for a non-trading company)
Details of the company secretary if there is one.
Details of the directors
Details of the share capital issued (probably still just one subscriber share)
Details of the shareholders.
