New company take over

Fisrt post
Ive been working for a company for over 10 years, a new company is taking over very soon.
What rights do they/I have?
Can they change pay
Holidays
Job/ job title
Any other advice

  • When the company that I worked for was taken over we transferred under TUPE regulations which meant that our new contract couldn't be on worse terms than we were on previously.

    As new people were taken on they were employed on the new company's terms and conditions which meant that when the office relocated, the staff that had been transferred received a better pay off than those who had the new company's terms and conditions.

    Thats generally what happens.

    However another option for the incoming company is to put all the employees "at risk" and ask them to apply for new jobs under a new structure.

    The new company has to "consult" the employees on this though it can be a paper excercise sometimes.

    If I were in the OPs shoes I would be asking my current line manager to explain whats going on the potentials consquences.

    It very much depends on the situation. Is the new company buying the old company in an insolvency situation? If so, they may be able to change the terms of your contract. If not, it will be more difficult for them to do so.
    I am an employment solicitor. However, my views should not be taken to be legal advice. It's difficult to give correct opinion based on the information given by posters.
  • TUPE doesn't apply when the shares of a company are bought. The new company simply assumes all of the obligations of the old company. But this is where the share capital of the old company is bought.

    The company is then in exactly the same position as it always was with regards to changes in contractual terms so pay, holiday and job title can be changed, but the company must consult and seek your agreement to a change in your contract.

    Essentially - if the shares have been sold - nothing changes due to the sale itself and any other changes have to follow the usual laws/statutory requirements.
