Can a child be a director of a LTD company?

I want to form a LDT company and you need 2 directors.

Could my wife and young son be directors?

I know children cant hold any property in their name but I wonder if this is different.

  • I would think that you would find that director of a limited company would have to be an adult, i.e. 18. They have legal responsibilities, which if breached can lead to a prison sentence. I am sure that you could find out by visiting https://www.companieshouse.gov.uk. All I am exercising is common sense.

    You don't need 2 directors to run a Limited Company any more. Neither do you need a company secretary.

    Unfortunately some forms from companies particularly banks have still not been updated to incorporate the changes in the Companies Act 2006.
    I'm not cynical I'm realistic :p

    Why don't you want to be a director yourself? If you are going to act as one in running the company, I believe you would be counted as being a director in any case.

    olly is correct that you need only have one director of a private limited company (which is what you mean by LTD, short for Limited). You still need at least two directors for a public limited company (abbreviated to PLC or plc). (And "public" does not mean "quoted".)

    Your wife can be a director if she has not been barred from acting as one.

    Your son can become a director at age 16.

    The rule is : You cannot be the sole director and company secretary of your company. A good friend would agree to be company secretary, but you would have to make sure that all accounts and forms etc are filed on time.

    If you have set up a limited company it would be a good idea to appoint a firm of accountants asap. Some firms, like my old firm, can be appointed company secretary, for a fee of course !

    From the 6 April 2008 there is no requirement to have a company secretary. FAQ from Companies House:-
    • When do the company secretary changes come into force?
      From 6th April 2008 the provision for enabling private companies to choose whether they wish to have a company secretary will come into force.
    • Do I still need a company secretary after 6th April 2008?
      A private company will have the option whether or not they maintain their company secretary.
    • If the company decide they no longer need a company secretary what is the process?
      If the company decide they no longer need a company secretary they will need to inform Companies House via WebFiling or on the 288b form.
    • Will the company be required to amend the Articles?
      The company will be required to amend the Articles if there is a specific reference to the company having a secretary. However if the Articles only refer to the secretary’s duties there is no need to make an amendment.
    • When the company amends the Articles what documentation must be submitted to Companies House?
      The company must submit a written or special resolution together with an updated version of the Articles.
    • Can a company have a sole director and no secretary?
      Yes.
    • Must the secretary be a person or can they be a corporate?
      The new provisions being introduced in October 2008 relating to natural directors, do not apply to secretaries. Secretaries can still be corporate.
