The Ontario Tourism Marketing Partnership Corporation (the "Contest Sponsor") Only in Ontario Contest (the "Contest") will begin on April 23, 2010 at 12:00:01 am Eastern Standard Time ("EST") and will end on December 9, 2010 at 11:59:59 pm EST the ("Contest Closing Date").

By entering the Contest, entrants accept and agree to be bound by the Contest Rules and Regulations, and accept the decisions of the independent Contest organization and Contest Sponsor as final and binding in all respects.

Eligibility:
This contest is open to legal residents of the United Kingdom aged 21 years of age or older at the time of entry. Proof of age may be required. Employees, representatives, agents, shareholders, officers and directors and the advertising or promotional agencies of the Ontario Tourism Marketing Partnership Corporation (the "Contest Sponsor") and Government of Ontario Employees, and those with whom the above are domiciled, are not eligible to enter. This Contest is void outside the jurisdiction listed above and where prohibited by law.

Entry:
Enter online by going to http://uk.ontariotravel.net, completing the official entry form and submitting your entry as instructed. All eligible entries will be entered in a random draw. Only one entry per person or per household is allowed during the entire promotional period. In the event it is discovered that you attempted to enter more than once, all your entries will be void.

All entries must be received by the Contest Closing Date.

The Contest Sponsor is not responsible for entries that are incomplete, illegible, lost, stolen, late, delayed, misdirected, inaudible, damaged, altered, irregular, have been submitted through illicit means, or do not conform to or satisfy any condition of these Contest Rules and all such entries shall be disqualified. All entries become the exclusive property of the Contest Sponsor and none will be returned.

On or around December 16, 2010 in Aurora, Ontario ("ON"), at 10:00 am EST, a random draw will be conducted by an independent contest organization from all eligible entries received by the Contest Closing Date to select the potential winner of the Grand Prize. The chance of winning depends on the number of eligible entries received. The selected entrant will be contacted by phone and/or email within approximately seven (7) business days of the draw ("Notification") and must agree to accept the prize as set forth below, and will be required to complete, sign and return an affidavit of eligibility/liability release and publicity release (the "Forms"). The Forms must be returned, properly executed, within twenty-one (21) days of notification or entrant will be disqualified. The travel companion of the selected entrant will also be required to sign an eligibility/liability release form. Upon receipt of the properly executed Forms and verification of full compliance with the Contest Rules by the independent Contest organization, the selected entrant will be declared the winner.

If the selected entrant cannot be contacted for any reason within ten (10) business days of the draw, or is unwilling or unable to comply with the requirements as set out by the Contest Rules and Regulations, the Contest Sponsor shall have the right to disqualify said entrant and to randomly draw another eligible entry.

By entering the Contest, you agree that if you are the selected entrant that is disqualified and the Grand Prize is forfeited for any reason, the Contest Sponsor shall be full and completely released and discharged from any liability or responsibility in this regard.

By entering the Contest, the winner consents to the use of his or her name, image, voice, likeness, city of residence and/or photographs without compensation in any publicity or advertising carried out in any medium worldwide by the Contest Sponsor and/or its advertising or promotional agencies without limitation or further notification or compensation.

In order to be declared the Contest winner, the selected entrant must be able to legally leave the United Kingdom and legally enter Canada.

Prize:
One (1) Grand Prize is available to be won. The Grand Prize Package is valued at approximately £3,170.00. There is no cash alternative to the whole or any part of the Grand Prize. The Grand Prize package, consists of a Ontario, Canada Prize Package for two (2) adults (21 years of age or older) traveling together between May 1, 2011 and September 30, 2011, which will include the following:

• Round-trip airfare for two (Economy class) to Toronto or Ottawa, Canada from London Heathrow Airport
• Three (3) nights standard accommodation (1 double occupancy room (room and taxes only)) at the Delta Chelsea in Toronto, ON
• Two (2) nights accommodation (One 2-bedroom superior cottage (room and taxes only)) at Elmhirst Resort in Keene, ON
• Two (2) nights standard accommodation (1 double occupancy room (room and taxes only)) at the Delta Ottawa Hotel and Suites in Ottawa, ON
• Two (2) Toronto CityPass Booklets. Each Toronto CityPass contains complimentary admission to each of the following Toronto attractions: CN Tower, Casa Loma, Ontario Science Centre, The Royal Ontario Museum, Toronto Zoo
• Two (2) Canada's Capital Museums Passports. Each pass also includes in-park bus transportation and bonus coupons for half-price admission to the Niagara Parks Butterfly Conservatory, Whirlpool Aero Car and Niagara Heritage Trail attractions.
• A Seven (7) day economy class car rental ("Courtesy Car Rental"). Courtesy Car Rental includes basic collision insurance. Entrant or the entrant's travel companion must be qualified to rent an automobile from a national car rental agency, have at least one major credit card in good standing (that is supported by a predetermined line of credit) and have a valid driver's license from his/her country of residence. Courtesy Car Rental does NOT include Personal Accident Insurance and Supplemental Liability Protection coverage. It is recommended that the winner obtain this additional coverage and would be responsible for the cost of this additional insurance coverage for the rented vehicle. An additional fee may apply if the winner is under 25 years of age at the time of rental, which the winner will solely be responsible for. Winner is responsible for all fuel costs.

A valid credit card (or cash deposit, as set out by the hotel) will be required at hotel check-in. The supplier of the prize is responsible for taxes on flights and accommodations. The above prize description constitutes the expected prize details and all aspects are subject to change and availability. Some restrictions may apply. The Grand Prize winner will be provided with complete details after the final arrangements have been made.

All travel arrangements must be booked by March 31, 2011. The Grand Prize must be taken between May 1, 2011 and September 30, 2011 and is subject to availability. All travel dates are subject to availability and blackout periods will apply including but not limited to national and public holidays. All travel arrangements and reservations must be made through Thomson Holidays, a division of TUI UK LTD, the Sponsor's tour operator. Tickets are subject to availability on the day of departure. Tickets are neither transferable, refundable nor upgradeable. Travel arrangements and reservations regarding the flight must be made according to instructions given to the Contest winner. Once reservations are made, they cannot be changed.

Winner's travel companion must be twenty-one (21) years of age or older and must be able to legally leave the United Kingdom and must be legally able to enter Canada. Winner and travel companion must have valid passport and proof of citizenship satisfactory to Canadian customs and immigration officials. The Contest Sponsor assumes no responsibility should the Grand Prize winner and his/her travel companion be denied airline entry or entry into Canada or the United Kingdom for any reason whatsoever.

The Grand Prize winner and his/her travel companion must depart from the same airport and travel on the same itinerary and are responsible for the cost of their transportation to and from their home and London Heathrow Airport.

The Grand Prize winner and his/her travel companion are solely responsible for obtaining any required travel identification and documents and any health or insurance documents, other meals, beverages other entertainment, souvenirs, local and long distance telephone calls, gratuities, transportation, parking, applicable taxes, incidentals, and all other expenses not specifically mentioned as included in the Grand Prize. It is recommended that the Grand Prize winner and his/her travel companion obtain sufficient personal insurance prior to the departure.

The Contest Sponsor, its directors, employees, officers, agents and affiliates, including, without limitation, its advertising and promotion agencies, the prize suppliers, the independent Contest organization and Her Majesty the Queen in right of Ontario and the Government of Ontario ("Promotional Parties") will not replace any lost or stolen tickets, travel vouchers, certificates or any other property.

Any unused portion of the Grand Prize value is forfeited. The Contest Sponsor is not responsible for any delays or cancellations relating to the Grand Prize that may occur prior to or during the Grand Prize trip. The Contest Sponsor holds no responsibility for the weather conditions or activity availability and no refunds will be issued should the selected dates limit any element of the Grand Prize usage. No alternative value will be included for any activity or opportunity available and not accepted by the winner or travel companion.

The Contest Sponsor, in its sole discretion and subject to applicable law, reserves the right to substitute any portion of the Grand Prize for something of equal or greater value if the advertised Grand Prize or any portion thereof becomes unavailable. The Contest Sponsor reserves the right, in its sole discretion to terminate or suspend the Contest, or modify the Contest Rules and Regulations at any time if the integrity of the promotion is compromised in any way.

Grand Prize must be accepted as awarded. Except as identified above, no substitutions will be made. Grand Prize may not be sold, transferred or assigned, and is not convertible to cash. Approximate retail value of the Grand Prize Package varies based on rates available at the launch date of the Contest. The Grand Prize cannot be used in conjunction with any other promotion or offer. By accepting the Grand Prize the winner and travel companion accept the inherently dangerous nature and risk involved in travel, whether by plane, automobile, or other conveyance, or by foot, on land or water and in the air, including personal injury and / or death, and acknowledges that his / her participation in the prize event is voluntary, acknowledges that there are natural factors and occurrences which may impact on or affect the safety of the activities he / she is participating in and he / she assumes the risk of such factors and occurrences and agrees that promotional parties shall not be in any way responsible for any resulting injury and / or death.

Limitation of Liability and Release:
Nothing in these Contest Rules and Regulations limits or excludes any liability of any of the Promotional Parties for death or personal injury caused by their negligence, or for fraud, or any other liability that cannot lawfully be limited or excluded. Subject to the foregoing, by entering the Contest the selected entrant, and such entrant's travel companion agree to release and hold harmless the Promotional Parties from any injury, loss or damage of any kind to persons or property, including but not limited to death, resulting in whole or in part directly or indirectly from the acceptance, receipt, possession, use or misuse of the awarded Grand Prize, any portion of the Grand Prize, participation in any Contest-related activity including any travel related thereto or participation in the Contest.

The Contest Sponsor shall not be liable for any human or technical errors that may arise or occur in connection with the Contest. The Contest Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of the entries. The Sponsor reserves the right, in its sole discretion to terminate, modify, suspend the Contest, or modify the Contest Rules and Regulations at anytime for any reason whatsoever.

The Contest Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any e-mail or entry to be received by the Contest Sponsor as a result of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, any injury or damage to the entrant's or any other person's computer related to or resulting from participation or downloading or accessing any materials in this Contest.

The Contest Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with or attempts to tamper with the entry process. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW INCLUDING CRIMINAL PROSECUTION.

In the event of a dispute, entries made by Internet will be declared made by the Authorized Account Holder of the e-mail address submitted at time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

By entering the Contest, the entrant agrees that these Contest Rules and Regulations shall be governed by the laws of the Province of Ontario, Canada and that the courts of the Province of Ontario shall have non-exclusive jurisdiction to entertain any action or other legal proceedings based on any provision of these Contest Rules and Regulations or the running of this Contest.

General Conditions:
By entering the Contest, the selected entrant agrees to sign and return the following to the independent contest organization within twenty-one (21) days of Notification:

1. A form affirming eligibility and compliance with all Contest Rules and Regulations (form may require notarization at the sole discretion of the Contest organization);
2. A liability release form releasing the Promotional Parties from all liability (excluding liability for personal injury or death caused by negligence or any other liability that cannot lawfully be limited or excluded) arising from or relating to the acceptance, receipt, possession, use or misuse of the awarded Grand Prize, any portion of the Grand Prize, participation in any Contest-related activity including any travel related thereto and / or participation in this Contest.
3. A publicity release form permitting the Contest Sponsor to use his or her name, image, voice, likeness, city of residence and/or photographs without compensation in any publicity or advertising carried out in any medium worldwide by the Contest Sponsor and/or its advertising or promotional agencies without limitation or further notification, unless prohibited by law. Note that a photographer may attend all or part of the winning tour to photograph winning participants.

In addition, the selected entrant's travel companion must sign and return a liability and publicity release form within the time limits expressed above.

If the selected entrant or his/her travel companions fail to submit the above within the given time period, the Contest Sponsor reserves the right to disqualify said entrant and randomly draw another eligible entry for the purpose of awarding the Grand Prize (time permitting), and the Contest Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard.

Taxes:
If applicable, the Winner is responsible for reporting any taxable benefits received from Sponsor to relevant Tax authorities as a result of winning this Contest.

Legal Compliance:
This Contest is governed by the laws of Ontario and the laws of Canada applicable therein, and is subject to all applicable federal, provincial and municipal laws and regulations.
