Company foul play

Hi, I wonder if anyone can help me,

I have shares in a company I used to work for. The existing company has been renamed and a new company incorporated with the original name with same shareholders except me, so it is clearly the same company. Is there anything I can do to protect my shareholding?

Thanks,

Jim P

  • Your shares are still in the renamed company. You can't have shares in the new company (regardless of what it is called) unless you purchased them.
    Debt 1/1/17 - Credit Cards £17,280.23; overdrafts £3,777.24
    Debt 5/1/18 - Credit Cards £3,188; overdrafts £0
  • Thanks for your reply. I appreciate my shares are still with the renamed Company, but I know it's been reformed to remove me as a shareholder and will receive the renamed companies contracts and assets - just hoping there's something I can do other than write it off.

    Thanks

    J

    Assets have a value.

Minority shareholders are protected under company law. Seek advice.

The contracts and assets should be transferred at fair value. If not you need to seek legal advice.

Presumably you did check that you were on the register and have been receiving dividends?

If you have not received fair value, then you need to consult a solicitor specialising in company law.
  • Many thanks for the replies I will seek advice as you suggest

    Thanks
